1. Services Provided
Weularity provides website development, design, digital marketing, search engine optimization, content creation, and related digital services. Specific deliverables, timelines, and project scope will be defined in individual project agreements or statements of work.
2. Project Agreements
All projects require a signed agreement or statement of work detailing the scope, deliverables, timeline, payment terms, and any other relevant project specifications. Any work performed outside the agreed scope constitutes additional services and will be billed separately at our standard rates or as mutually agreed.
3. Payment Terms
Payment terms are specified in individual project agreements. Unless otherwise stated, a deposit is required before work commences, with the balance due upon project completion or according to agreed milestones. Late payments may incur interest charges and may result in suspension of services until payment is received. All fees are non-refundable unless otherwise stated in writing.
4. Client Responsibilities
Clients are responsible for providing timely access to necessary materials, content, credentials, feedback, and approvals. Delays in client responses may impact project timelines. Clients must ensure they have the legal right to use any materials provided to Weularity, including text, images, logos, and other content.
5. Intellectual Property
Upon full payment, clients receive ownership of the final deliverables as specified in the project agreement. Weularity retains the right to use completed projects in our portfolio and marketing materials unless otherwise agreed in writing. Pre-existing intellectual property, code frameworks, templates, and proprietary methods remain the property of Weularity. Third-party assets, plugins, or software may be subject to their own licensing terms.
6. Revisions and Changes
Projects include a specified number of revision rounds as outlined in the project agreement. Additional revisions or significant changes to the approved scope will be quoted and billed separately. Requests for changes after project completion may be subject to additional fees.
7. Timeline and Delivery
Project timelines are estimates based on the agreed scope and timely client cooperation. Weularity will make reasonable efforts to meet deadlines but is not liable for delays caused by circumstances beyond our control, including client delays, third-party service issues, or force majeure events.
8. Website Hosting and Maintenance
Unless specifically included in the project agreement, website hosting, domain registration, SSL certificates, and ongoing maintenance are separate services. Weularity is not responsible for website performance, security, or availability unless ongoing maintenance services have been contracted.
9. Marketing Services
Digital marketing results depend on numerous factors beyond our control. While we employ industry best practices, Weularity does not guarantee specific outcomes, rankings, traffic volumes, or conversion rates. Marketing campaigns require client approval before launch and are subject to the advertising policies of respective platforms.
10. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the business relationship. This obligation survives termination of services.
11. Limitation of Liability
Weularity's liability is limited to the amount paid for the specific services in question. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities. We are not responsible for issues arising from third-party services, platforms, or client-provided materials.
12. Warranty Disclaimer
Services are provided "as is" without warranties of any kind, express or implied. While we strive for excellence, we do not warrant that services will be error-free, uninterrupted, or meet specific requirements beyond those outlined in the project agreement.
13. Termination
Either party may terminate services with written notice as specified in the project agreement. Upon termination, client is responsible for payment of all work completed to date. Weularity reserves the right to refuse or discontinue services at its discretion, including for non-payment, abusive behavior, or violation of these terms.
14. Third-Party Services
Our services may integrate with or rely on third-party platforms, tools, and services. Weularity is not responsible for the availability, functionality, or terms of service of third-party providers. Clients are responsible for maintaining their own accounts and complying with third-party terms.
15. Indemnification
Client agrees to indemnify and hold harmless Weularity from any claims, damages, or expenses arising from client-provided materials, violation of third-party rights, or misuse of deliverables.
16. Governing Law
These terms are governed by the laws of the jurisdiction in which Weularity operates. Any disputes will be resolved through binding arbitration or in the courts of that jurisdiction.
17. Modifications
Weularity reserves the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms. Material changes will be communicated to active clients.
